The Directors of Solid Resources Ltd. ("Solid"), have accepted subscription agreements for a private placement of 1,625,000 units at a price of $1.00 per unit for aggregate gross proceeds of $1,625,000. Each unit will contain one common share of Solid and one warrant. Each warrant will entitle the holder thereof to acquire an additional common share of Solid for a period of one year at an exercise price of $1.25. In connection with this private placement, Solid will be paying a 5% commission on a portion of the funds raised. Proceeds from this private placement will be utilized for general working capital and diamond drilling and preliminary metallurgical work on the Doade-Presqueira Concession in Spain. This transaction is subject to the approval of the regulatory authorities.
Solid is also pleased to announce that the company expects to commence its infill diamond drilling program on the Doade-Presqueira property in Spain in April. The exact timing will be determined once the contract with the drilling contractor has been finalized. The company has transferred $250,000 U.S. to its Spanish subsidiary, Solid Mines Espana, to fund approximately 50% of this 20 hole program. Funds to cover the remaining costs will be transferred at the appropriate time from proceeds of the private placement referred to herein.
In 2003 the company completed a 10 hole scout diamond drilling program. This program was carried out over the 14km strike length of the Doade- Presquiera property and revealed excellent grades of Lithium and Rubidium and very good grades of Tantalum, and Tin. There is also a presence of Cesium and Gallium. The assay results were presented in Solid's 2003 press releases dealing with the Doade-Presqueira property. The mineralization on this property in some areas is exposed at the surface and in other areas is found just below the surface.
The infill drilling program will be carried out primarily on the North end of the property as this is the area that can be most expediently developed. The goal of this program is to determine the continuity of the grades identified by the initial scout program and to determine quantities of mineralization. Because excellent grades were found in each hole drilled, Management is confident that the results of this infill program should be positive.
